1. Scope of Service
Adhreline provides an online marketplace platform where third-party providers ("Vendors") can
list, promote, and sell adventure activities to users ("Customers"). Adhreline acts strictly as
an intermediary agent and does not provide, manage, or execute the activities itself.
2. Definitions
- Activity: Refers to any adventure, tour, experience, or recreational
service listed by a Vendor on the Adhreline platform.
- Booking: Refers to a confirmed reservation for an Activity made by a
Customer through the Platform.
- Customer: Refers to any individual or group that books an Activity via
Adhreline.
- Force Majeure Event: Refers to natural calamities (continuous rain/snow,
snowstorms, thunderstorms, floods, landslides, earthquakes), unexpected wildlife movement,
political unrest, curfews, riots, pandemics, lockdowns, government orders, or any other
issue impacting safety.
3. Vendor Obligations & Listings
- Accuracy: Vendors must provide accurate and updated descriptions, including
difficulty levels, age restrictions, and fitness requirements. Vendors must possess all
required licenses and approvals.
- Availability: Vendors must manage real-time availability. Accepted bookings
must be fulfilled.
- Pricing: Prices must follow the "Price Parity" rule (equal or lower than
other platforms).
- Non-Compliance: Adhreline may verify documents and suspend non-compliant
Vendors.
4. Bookings and Payments
- Commission: A service fee is deducted from each booking based on the
selected commission structure.
- Payouts: Released after successful activity completion.
- Booking Details: Vendors receive full booking details via dashboard.
5. Activity Listings and Content
- Detailed description, duration, location, inclusions.
- Transparent pricing and taxes.
- Accurate schedule and capacity.
- Health and fitness requirements.
Vendors are responsible for accuracy. Misleading content may violate the Consumer Protection
Act, 2019. Vendors must own rights to all uploaded content.
6. Pricing, Payments, and GST
- Vendors set pricing and GST applicability.
- Vendors must issue valid tax invoices and comply with GST laws.
- Adhreline may deduct platform fees, GST, penalties, or refunds.
- Payouts follow agreed cycles.
7. Safety and Licensing
- Vendors must maintain valid licenses and certifications.
- Equipment must be safe and regularly inspected.
- Public Liability Insurance is mandatory.
8. Cancellation and Rescheduling
- Vendor Cancellation: Must offer rescheduling valid for 1 year.
- Customer Cancellation: Refunds depend on predefined cancellation policies.
9. Liability and Indemnity
- Vendors are solely responsible for participant safety.
- Vendors must indemnify Adhreline against claims or damages.
- Liability waivers are recommended.
10. Refund Automation
Refunds are processed automatically to the original payment method. The final amount may vary
based on commission structure.
11. Safety, Risk Disclosure, and Insurance
- Vendors must ensure customer safety and emergency preparedness.
- Provide trained staff and safety briefings.
- Follow Government of India and local authority guidelines.
- Maintain adequate insurance coverage.
12. Vendor Conduct
Vendors must act professionally. Unsafe practices, false advertising, or legal violations are
strictly prohibited.
13. Intellectual Property
Vendors retain ownership but grant Adhreline a non-exclusive license for promotional use.
14. Liability and Indemnification
- Vendors are responsible for risks and activities.
- Indemnification applies to injuries, negligence, or legal violations.
15. Suspension and Termination
Adhreline may suspend or terminate Vendors for violations. Existing bookings must be honored
unless stated otherwise.
16. Governing Law and Jurisdiction
This Agreement is governed by Indian laws. Courts located in Kolkata, West
Bengal
will have jurisdiction.
17. Amendments
Adhreline may update these terms at any time. Continued use indicates acceptance.

have read, understood, and agreed to this Agreement.
